Terms of Service
Welcome to QUANT (the "Platform"). These Terms of Service ("Terms") govern your access to and use of the Platform’s website, API, and related services. Please read these Terms in full before registering; by creating an account or using any feature of the Platform, you agree to be bound by them.

1. Scope
These Terms apply to all functionality offered by the Platform, including but not limited to strategy backtesting, paper trading, live trading, AI machine-learning modeling, the Strategy Factory (automated strategy generation and publishing), the strategy marketplace, copy trading, and leaderboards. The Platform may add or change features at any time; new features are covered by these Terms by default, and we will publish supplemental terms where needed.
2. Not Investment Advice, No Guaranteed Returns
The Platform is a software tool for quantitative trading. It is not an investment adviser, broker, or market maker, and it does not provide investment advice or guarantee or endorse the performance of any strategy, model, or trading signal. Historical backtests, paper-trading results, and leaderboard data are generated from historical data or simulated conditions and do not represent or guarantee actual future trading results. Digital-asset trading carries extremely high volatility and risk of loss, up to and including the loss of your entire principal. You are solely responsible for any trading decision made on the Platform, whether generated automatically by the Strategy Factory or output by a AI model.
3. Accounts & Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) and have full legal capacity to register an account. You are responsible for all activity under your account and must use a strong password and safeguard your credentials; notify us immediately if you suspect unauthorized access. One account per person; we reserve the right to suspend or terminate accounts involved in abuse of the registration process, bulk registration, or fraud.
4. Exchange API Keys & Custody of Funds
Before using paper trading or live trading, you must add your own exchange API key to the Platform’s key vault. Binance keys used for live trading must have withdrawals disabled; the Platform checks this when saving. Other exchange keys are accepted after a signed connection check without checking their permissions or IP allowlist. Use a dedicated key and limit its permissions and IP access at the exchange where possible. A compromised key may be used within all permissions granted by the exchange. Only Binance keys are currently eligible for Platform live trading. Your API key is protected with envelope encryption before it is stored; the Platform never records, displays, or transmits your key in plaintext. You remain responsible for the security of your exchange account, including enabling two-factor authentication and IP allow-lists on the exchange side. The Platform never custodies, touches, or controls your funds — your funds always remain in your own exchange account.
5. Live Trading Risk Disclosure
Live trading uses real funds in your account to place orders automatically on your exchange. Before enabling live trading, you must understand and accept the following risks:
- Digital-asset prices are highly volatile and can drop sharply in a short period; you may lose part or all of your invested funds.
- Automated strategies are built from backtests on historical data and statistical assumptions; they are not guaranteed to remain effective under future market conditions, and past performance does not predict future results.
- Software, network, exchange-API, or Platform infrastructure issues may cause delays, outages, missed orders, failed stop-losses, or unintended positions.
- Drawdown circuit breakers, daily-loss circuit breakers, and the one-click emergency stop are best-effort safeguards, not a guarantee of any maximum loss.
- You should continue to actively monitor any live run yourself; the Platform is not responsible for losses that occur while a run is unsupervised.
6. Subscription & Billing
Paid subscriptions are not currently offered. The Platform may introduce paid plans in the future; if it does, the applicable pricing, billing terms, and cancellation rules will be published before purchase is available.
7. Acceptable Use
When using the Platform, you agree not to:
- reverse-engineer, decompile, or attempt to extract the source code of the Platform’s software, algorithms, or infrastructure;
- use automated scripts or other means to circumvent the Platform’s concurrency, rate, or quota limits;
- use the Platform for money laundering, market manipulation, sanctions evasion, or any activity that violates the law of your jurisdiction;
- attempt to access another user’s account, strategies, or data without authorization;
- launch denial-of-service attacks or otherwise disrupt the stability of the Platform’s systems.
8. Strategy Factory & User Content
The Strategy Factory may automatically generate, backtest, and publish strategies from historical data; you may also create, import, or publish your own strategy configurations. You retain rights in strategy content you create and mark public, and you grant the Platform a license to display that content (including its historical performance data) within the Platform, as needed for the marketplace and leaderboard features to function. Displaying an automatically generated strategy and its historical performance is not a guarantee of its future performance.
9. Service Availability
The Platform is provided on an "as-is" and "as-available" basis, without any warranty of uninterrupted, timely, secure, or error-free operation. Service may be interrupted for maintenance, upgrades, force majeure, or failures of third-party services (including exchange APIs and cloud providers). To the maximum extent permitted by law, the Platform is not liable for strategies that fail to execute, delayed orders, or missed stop-losses resulting from a service interruption. We recommend that you never treat the Platform as your sole risk-control mechanism.
10. Limitation of Liability
To the maximum extent permitted by law, the Platform and its affiliates are not liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from your use of or inability to use the service — including trading losses, lost profits, or data loss — whether based on contract, tort, or any other legal theory, even if advised of the possibility of such damages. In no event will the Platform’s aggregate liability to you exceed the total subscription fees you actually paid to the Platform in the twelve (12) months preceding the event giving rise to the claim.
11. Suspension & Termination
If you violate any part of these Terms, including the prohibited conduct listed in Section 7, we reserve the right to suspend or terminate your account access and, where necessary, to force-close positions or stop your live/paper trading instances. You may close your own account at any time in account settings; upon termination, your live trading instances will be force-stopped and you remain responsible for managing any open positions on the exchange side — the Platform does not act on your behalf with respect to assets held in your exchange account.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced in-app or by email to your registered address, and the "Last updated" date at the top of this page will be revised accordingly. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law & Disputes
